1. Acceptance of Terms
By accessing or using the FDA Data MCP service (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
2. Description of Service
FDA Data MCP is a SaaS API that aggregates, normalizes, and serves publicly available FDA and openFDA datasets through the Model Context Protocol (MCP). The Service provides structured access to FDA regulatory data for use with AI agents and developer tools.
3. Accounts and Registration
- You must provide accurate registration information
- You are responsible for maintaining the security of your API key
- API keys are non-transferable and must not be shared publicly
- One account per individual or organization unless otherwise agreed
- You must notify us immediately of any unauthorized use
4. API Usage Rules
- Respect published rate limits (default: 60 requests per minute)
- Do not attempt to circumvent rate limits or security measures
- Do not scrape, bulk-download, or redistribute raw data
- Fair use: automated queries must serve a legitimate business purpose
- We reserve the right to suspend access for abuse or excessive usage
5. Credit System
- API access is metered via a credit-based system
- Credits are non-refundable once consumed
- Credits are non-transferable between accounts
- Credits have no cash value and cannot be exchanged
- Free tier credits reset monthly; unused credits do not carry over
6. Subscriptions and Billing
- Paid plans are billed monthly on a recurring basis
- Subscriptions auto-renew unless cancelled before the next billing cycle
- No prorated refunds for mid-cycle cancellations
- Prices may change with 30 days’ notice
- Failed payments may result in service downgrade or suspension
- All payments are processed through Stripe
7. Data Accuracy Disclaimer
FDA Data MCP aggregates publicly available data from FDA and openFDA sources. While we strive for accuracy, we do not guarantee that the data is complete, current, or error-free. Do not rely on this data as a substitute for official FDA records or professional regulatory advice.
8. Intellectual Property
- The Service, including its software, design, and documentation, is our property
- Underlying FDA data is public domain; our organization and presentation is proprietary
- You are granted a limited, non-exclusive license to use the Service for its intended purpose
- Any feedback or suggestions you provide may be used without obligation
9. Prohibited Uses
- Reselling or sublicensing API access without authorization
- Building a competing service using our data organization
- Reverse engineering or decompiling the Service
- Attempting to access other users’ accounts or data
- Transmitting malware, viruses, or harmful code
- Using the Service for illegal purposes
- Impersonating any person or entity
- Interfering with the Service’s operation or infrastructure
- Harvesting personal data from the Service
- Using the Service to generate spam or unsolicited communications
10. Termination and Suspension
- We may suspend or terminate access for violations of these Terms
- You may cancel your account at any time
- Upon termination, your API key is revoked and data access ceases
- Sections on liability, indemnification, and dispute resolution survive termination
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE LESSER OF (A) $50 OR (B) THE TOTAL AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
14. Governing Law
These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles.
15. Dispute Resolution and Arbitration
Any dispute shall first be resolved through informal negotiation. If unresolved within 30 days, disputes shall be settled by binding arbitration in Salt Lake County, Utah. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS ARBITRATION.
16. Modification of Terms
We may update these Terms at any time. Changes take effect 30 days after posting. Continued use of the Service constitutes acceptance of modified Terms.
17. Third-Party Services
The Service integrates with third-party providers (Stripe, Heroku, Sentry, Cloudflare). We are not responsible for their services, terms, or privacy practices.
18. Export Compliance
You agree to comply with all applicable U.S. export control laws and regulations when using the Service.
19. General Provisions
- These Terms constitute the entire agreement between you and us
- If any provision is found unenforceable, the remainder stays in effect
- Failure to enforce a right does not waive it
- You may not assign your rights without our consent
- Neither party is liable for failures due to force majeure events
- No agency, partnership, or employment relationship is created
